NYSE Showcase & Travel Terms

These NYSE Showcase & Travel Terms (“Terms”) apply to participants selected by CariBound Ltd, a company incorporated and existing under the laws of Barbados, company number 36108, with its registered office at Cobbler’s Rock, The Crane, St Philip, Barbados (“CariBound”) to participate in a Future Caribbean showcase or related event in New York, including any event associated with the New York Stock Exchange (“NYSE”) (the “Showcase”).

These Terms supplement the Future Caribbean Buildathon Official Rules and other applicable Future Caribbean policies.

1. Showcase Invitation

Participation in the Showcase is by invitation or selection by CariBound and is subject to the participant satisfying all applicable eligibility, programme, venue, security and third-party requirements.

Where participation in an NYSE or other third-party event requires separate approval, registration or invitation, CariBound does not guarantee that such access will be granted.

The Showcase is an opportunity associated with Future Caribbean and is not part of the US$70,000 Buildathon prize pool, unless expressly stated otherwise.

2. Travel Support

Where CariBound confirms travel support in writing, it may arrange or pay for certain reasonable travel costs, which may include:

return economy airfare;

accommodation for an agreed number of nights;

reasonable ground transportation; and

other expenses expressly confirmed by CariBound.

The specific dates, itinerary, accommodation, permitted expenses and any applicable spending limits will be communicated separately to the selected participant.

Unless expressly confirmed otherwise, participants are responsible for meals, personal expenses, upgrades, additional accommodation, entertainment, expenses of accompanying persons, travel insurance and other incidental costs.

3. Travel Arrangements

Travel may be booked directly by CariBound or through a third-party travel provider designated by CariBound.

Participants must provide accurate information and complete booking and verification requirements promptly.

Participants should not make non-refundable personal travel arrangements in reliance on the Showcase without prior written confirmation from CariBound.

Any participant-requested change to a confirmed itinerary may be subject to availability and additional costs, which may be the participant’s responsibility.

4. Passports, Visas and Entry Requirements

Each participant is responsible for obtaining and maintaining all documents and authorisations required for travel, including:

a valid passport;

any visa or travel authorisation required for the United States;

any required immigration or customs documentation; and

any other documentation required by the relevant authorities.

CariBound may provide reasonable supporting documentation relating to the Showcase, but does not guarantee the grant of any visa, ETA, immigration permission or right of entry into the United States.

CariBound does not act as the participant’s immigration, tax, legal, investment or financial adviser in connection with the Showcase.

A participant who cannot lawfully travel to the United States may be unable to participate in person.

5. Travel Disruption and Changes

Travel may be affected by airline cancellations, delays, weather, strikes, border restrictions, visa decisions, security events, venue changes or other circumstances outside CariBound’s reasonable control.

CariBound will use reasonable efforts to assist participants with material travel disruption where practicable.

CariBound may change travel arrangements, dates, accommodation or the format of participation where reasonably necessary.

No cash alternative is automatically payable for unused travel support unless expressly agreed by CariBound in writing.

6. Accommodation

Where accommodation is provided, CariBound or its travel provider will determine the hotel, room type, booking period and applicable booking conditions.

Participants must comply with the accommodation provider’s rules.

Personal charges, damage, upgrades and other costs attributable to the participant remain the participant’s responsibility.

Unless otherwise agreed, accommodation is provided only for the selected participant.

7. Participation and Conduct

Participants are expected to:

attend the activities reasonably identified by CariBound;

comply with applicable venue, event, airline and accommodation requirements;

comply with the Future Caribbean Code of Conduct and other applicable programme policies; and

behave lawfully and professionally.

CariBound may withdraw or suspend an invitation where reasonably necessary because of serious misconduct, material misrepresentation, ineligibility, failure to satisfy programme or third-party requirements, or circumstances that make participation inappropriate or impracticable.

8. NYSE and Other Third Parties

The Showcase may involve NYSE and other independent organisations, venues, investors, sponsors, partners, service providers and event participants.

Participants must comply with any reasonable rules or requirements imposed by the relevant venue or event organiser.

Participation in the Showcase does not constitute an endorsement by NYSE, CariBound or any other third party of the participant, its project, business or technology unless expressly stated by that party.

CariBound does not guarantee:

access to any particular person or organisation;

investment or funding;

customers or commercial contracts;

employment or partnerships;

media coverage; or

any particular commercial or business outcome.

Any investment, commercial arrangement or other relationship arising from the Showcase is independently negotiated between the relevant parties.

9. Intellectual Property and Confidentiality

Participants retain ownership of their intellectual property, subject to the Future Caribbean Official Rules, applicable Challenge-Specific Rules and any separate agreement.

Participants are responsible for deciding what information they may safely disclose during presentations, demonstrations, meetings and other Showcase activities.

Participants must not disclose confidential information, personal data, trade secrets or third-party information that they are not authorised to disclose.

CariBound does not require a participant to disclose information that the participant is legally or contractually prohibited from disclosing.

10. Publicity and Recordings

The Showcase may be photographed, filmed, livestreamed, recorded or otherwise documented.

Use of a participant’s name, image, likeness, voice or recordings is governed by the applicable Media & Recording Release and any additional event-specific consent requirements.

Participants should be aware that third parties attending or operating public events may independently create photographs, recordings or other content.

11. Health, Safety and Insurance

Participants are responsible for taking reasonable care of their own health and safety while travelling and participating in the Showcase.

Participants should obtain appropriate travel, medical and other insurance for international travel unless CariBound expressly confirms that such insurance is being provided.

Participants must promptly notify CariBound of any material issue affecting their ability to travel or participate.

12. Taxes and Other Costs

Participants are responsible for any taxes, customs duties, immigration fees, personal expenses or other costs arising from their participation or receipt of travel support, except where CariBound is expressly responsible for such costs or is legally required to withhold or pay them.

13. Withdrawal and Non-Attendance

A participant should notify CariBound as soon as reasonably possible if they are unable or unwilling to attend the Showcase.

Where travel has already been booked, CariBound may seek to recover from the participant any non-refundable costs directly resulting from a participant-requested cancellation or failure to travel, to the extent permitted by applicable law and unless otherwise agreed.

CariBound may reallocate a Showcase invitation or associated travel support where a participant withdraws or becomes ineligible.

14. Cancellation or Postponement

CariBound may postpone, modify or cancel the Showcase where reasonably necessary, including because of venue availability, third-party decisions, travel disruption, safety or security concerns, regulatory requirements or other circumstances outside its reasonable control.

Where reasonably practicable, CariBound will notify affected participants and may offer an alternative date, format or opportunity.

15. No Transfer

A Showcase invitation and associated travel support are personal to the selected participant and may not be transferred to another person without CariBound’s prior written approval.

16. Relationship with Other Documents

These Terms supplement the Future Caribbean Official Rules and applicable programme policies.

If a specific written agreement with a participant provides different arrangements for that participant, that agreement will prevail to the extent of the specific conflict.

The Official Rules’ document hierarchy otherwise applies.

17. Governing Law

These Terms are governed by the laws of Barbados, and the courts of Barbados shall have jurisdiction over disputes arising out of or in connection with these Terms, subject to any mandatory rights or jurisdiction that cannot lawfully be excluded.

18. Acceptance

By accepting an invitation to the Showcase or accepting travel support, the participant confirms that they have read, understood and agree to these Terms.
